THE CLUB CONSTITUTION:



DEE WHY RSL CAMERA CLUB CONSTITUTION

(Amended Oct. 2009)

1.Name

The name of the club shall be the Dee Why RSL Camera Club.

2.Aim:

The aim of the club shall be to encourage those members of the Dee Why RSL Club who are interested in photography, to join the club. The club aims to promote a wider knowledge of the art by the conduct of regular meetings, to arrange lectures, and promote self development of the individual photographer.

3.Membership:

A person may not apply for membership of the Camera Club unless they are current financial members of the Dee Why RSL Club. Should an individual fail to renew their membership of the Dee Why RSL Club, their membership of the Camera Club will automatically lapse.

Members shall pay an annual membership fee to the Camera Club. Current membership shall lapse after the A.G.M. which is scheduled to be held on the first Wednesday in July. Members who have not renewed, and visitors considering joining the club, shall have a period of grace of two meetings before membership payment must be paid, or else the individual is excluded from club meetings and activities until such time as the fee is paid in full. The annual membership fee for the forthcoming year will be determined at the A.G.M.

All membership payments shall be made to the Treasurer (or nominated Committee Member) and a receipt for that payment must be issued by the Treasurer (or nominated Committee Member).

At the time of joining the Camera Club, members are to complete an application form which details their RSL Club Membership and other personal contact details. The Camera Club abides by the Privacy Act applying to registered clubs and will not release that information to other members or anyone else without the member’s permission. The Camera Club must release a schedule of its membership to the Dee Why RSL Club annually (or at any other time on request). The RSL will only use this information for membership verification and will not release it to any third party.

4.Life Membership:

A person who has given outstanding service to the Dee Why RSL Camera Club for a period of not less than ten (10) years shall be eligible for Life Membership

A Life Member of the Dee Why RSL Camera Club may participate in any meeting or activity of the Club and is exempt from Annual Membership Fees. Life members are not members of the Executive Committee unless so elected.

A Life Member must maintain fully paid-up membership of the Dee Why RSL.

5.Meetings:

The venue for meetings shall be in the premises of the Dee Why RSL and shall commence at 7:30 pm alternate Wednesdays, the actual dates being determined at the beginning of each calendar year, or as otherwise determined by the Executive Committee. All meeting dates on RSL premises are subject to verification by the Functions Dept. of the Dee Why RSL.

6.The Annual General Meeting

The A.G.M. shall be held on the first Wednesday in July each year.

The meeting will require a quorum of no less than twenty (20) financial members or 50% of the current membership (whichever is the lesser), and the start of the meeting cannot be delayed more than 30 minutes after the specified commencement time.

Nominations for the Executive Committee may be submitted to the Secretary prior to the meeting, or at the beginning of the voting procedure.

All positions of the Executive Committee shall be declared vacant at the A.G.M.

Items for discussion which require a vote by members under Section (ix) – see below, must be delivered to the Secretary at least three (3) days prior to the A.G.M.

Proceedings:

i)The attendance book to be signed by members in attendance. ii)Apologies. iii)Reading and confirming the Minutes of the previous A.G.M. iv)Business arising for the minutes of the previous A.G.M.

v)Correspondence. vi)Reading of the President’s Report for the year ended. vii)Consideration of Financial Statements and Treasurer’s comments. viii)Election of Executive Officers for the coming year. ix)Transaction of any other general business properly brought before the meeting.

Proxy Voting. Any financial member may cast a proxy vote at any Annual General Meeting or Extraordinary General Meeting. The Proxy may be in favour of the chair or any other person nominated by the member. The proxy may be open or prescriptive.

7.Extraordinary General Meetings:

EGM’s may be convened by the Executive Committee (or by a written requisition of at least 10% of the total club membership).

All members shall be given at least 3 weeks notice of the EGM and must be provided with the Agenda 2 weeks prior to the actual meeting.

Only items specified in the pre-distributed Agenda of the EGM can be considered at that meeting.

8. Executive Committee:

An Executive Committee for the proper management of the Club shall be elected at each Annual General Meeting and shall comprise the following:

President Vice President/s (at least one, but no more than two) Secretary Treasurer

Other persons to be nominated to the committee shall include (but not be limited to) Webmaster, Marketing & PR and Technical Support. The A.G.M. must determine the total number of members to be appointed to the Executive Committee.

In performing their management duties, should the committee be deadlocked on any issue, the President is empowered with one additional casting vote.

Should a casual vacancy occur in the membership of the committee, the committee may appoint a Camera Club member to fill the vacancy, however the committee may not increase the number of positions of the Executive Committee beyond that determined by the A.G.M.

Any member of the Executive Committee may be relieved of his/her office upon due notice having been given and carried by two-thirds majority of the Committee.

A quorum for the Committee Meeting shall be the President or a Vice President, and three other members.

9.Accounting records:

The financial year shall be from July 1st, to June 30th, of each year. The Treasurer shall present to the AGM statements showing the club’s income and expenditure for the year, and a balance sheet (including Bank Reconciliation), and detailing the Club’s overall financial position.

The Treasurer is also required to have current Income and Expenditure & Bank Reconciliation statements at all Committee meetings.

The complete accounting records shall be annually surrendered to the Dee Why RSL Club for Audit purposes.

10.ActivitiesandFinances:

The Camera Club is a sub-club of the Dee Why RSL, and therefore is bound by the regulations that are applicable to all sub-clubs.

The Camera Club is given a financial grant and goods in kind by the RSL (under the Community Support Program or “CDSE”), in addition to directly raising income via membership fees. Fund raising and sponsorships beyond these two sources is not generally permitted by the RSL and any such activity would require approval of the Dee Why RSL Board.

11.Disposal of assets on disbandment:

In the event of the winding-up of the Dee Why RSL Camera Club, any cash and other assets will pass to the Dee Why RSL Club for disbursement as directed by the Board of Directors.

12.Changes to the Constitution:

A change to the Constitution can only be made after a motion in writing, duly seconded and submitted to the regular meeting prior to the A.G.M., for the presentation and acceptance by a majority of three-fifths (3/5) of the members present at the A.G.M.

13.Conflict of Rules:

Where these Rules are silent or conflict, the Rules, By-Laws and Ordinance of the Dee Why RSL Club shall prevail.

THE CLUB MEMBERSHIP FEES:

Membership fees are as follows:

          Annual membership is $40 and due July 1st each year.

          For those joining on/after October 1st -a part year fee on $30 applies.

          For those joining on/after January 1st -a part year fee of $20 applies.


This fee relates to the Camera Club membership only and membership of the Dee Why RSL Club is a pre-requisite of camera club membership (at the current membership rates of the RSL Club)
